Opening a Beverly Hills business? Review entity formation, city tax registration, permitted use and lease risk before committing to premises.
Before signing for a Beverly Hills shop or office, settle three questions: who signs, whether the location permits the intended activity and which registrations remain. Formation at state level is not approval to operate at a particular site. The California Secretary of State’s business FAQs (www.sos.ca.gov) distinguish entity registration from licenses and permits.
The city’s Business Tax page (beverlyhills.gov) covers registration and additional regulatory permits. Its online application service (beverlyhills.hdlgov.com) warns that a tax certificate does not establish compliance with zoning. Give counsel the exact address, proposed activities, alterations and signage plans while checking the relevant approvals with the city.
A lease review should connect those approvals with money: permitted use, rent while an application is pending, responsibility for improvements, rent commencement and any founder’s personal guarantee. Supply leasing emails and oral assurances alongside the draft. An entity certificate cannot resolve these contractual questions.
For multiple investors, separate operational authority from individual interests. Who signs contracts, supplies extra capital or decides an exit? How would a deadlock be handled? Confirm whether counsel represents the entity or a participant before discussing personal negotiating limits. Formation, lease negotiation and an ownership agreement may be separate engagements.
An existing business can start with a trigger such as renewal, added activities, ownership change or a city notice. Bring the current registrations, actual notice and contract versions, then distinguish city administration, negotiated terms and tax advice.
