About Business & Corporate matters in Los Angeles

Business and corporate work covers entity formation, contracts, commercial disputes, partnership and shareholder matters, and transactions. Unlike most areas in this directory, the client is usually a business rather than an individual, and the work is often preventive — the point is to avoid the dispute rather than to win it.

Formation questions get more attention than they deserve and structure questions get less. Choosing between an LLC and a corporation matters, but what usually determines whether a business survives a falling-out is the operating agreement or bylaws: how decisions are made, how a founder exits, what happens to their stake, and how a deadlock is broken. Those clauses are cheap to write at the start and expensive to litigate later.

California adds requirements that surprise businesses formed elsewhere, including registration obligations for out-of-state entities doing business here and an annual minimum franchise tax that applies regardless of profit. A firm working in this market should raise those before you ask.

Hourly billing is the norm. Because a single figure for a whole matter is rarely meaningful, ask for an estimate broken down by phase, and ask who does the routine drafting — the difference between partner and associate rates across a long transaction is usually larger than the difference between firms.

Common questions

General information about how these matters usually work in California and Los Angeles County. It is not legal advice about your situation.

LLC or corporation — which should I form?
It depends on how you intend to take in money and pay it out, not on which is generally better. Outside investment, employee equity and how profits reach the owners each push in different directions. The more consequential document is usually the operating agreement or bylaws that comes after the choice.
Do I need to register in California if my company was formed in Delaware?
If the business actually operates here, generally yes — foreign entities transacting business in California have registration obligations, and an annual minimum franchise tax applies regardless of whether the business is profitable. Forming elsewhere does not by itself remove California obligations.
Can I use a template contract?
For low-value, repeated transactions, often yes. The risk is that templates are written for the party who published them and rarely address the specific way your deal can fail. The clauses worth paying attention to are the boring ones: termination, indemnity, limitation of liability and how disputes get resolved.
My business partner and I are in dispute. Where do I start?
With the governing document, whatever it says. Most partnership and shareholder disputes are resolved by what the operating agreement or bylaws provide about buyouts, valuation and deadlock — and the absence of those clauses is itself the usual reason such disputes become litigation.
